Partner Agreement
This is the agreement you accept when applying to the TripSzn Direct Partner Network. It is written to be read without a lawyer: no exclusivity, no rate-parity obligation, and a commission-free launch period locked in writing.
TripSzn Direct Partner Network: Participation Agreement (v2.0)
This Agreement is entered into between TripSzn Sdn Bhd ("TripSzn", "we", "us") and the property owner or authorised operator submitting this application ("Partner", "you"). By checking the box below, you confirm that you have read, understood, and agree to be legally bound by this Agreement under the Electronic Commerce Act 2006 (Malaysia).
1. Definitions
"Platform" means the TripSzn website, mobile applications, and booking infrastructure at tripszn.com. "Listing" means the property, room types, rates, photos, and policies published by the Partner. "Direct Booking" means a reservation made by a traveller through the Platform. "Traveller" means any person making a reservation through the Platform. "Member" means a Traveller with a registered TripSzn account who is signed in. "Member Rate" means a discounted rate offered by the Partner that is visible only to Members. "Launch Period" means the commission-free period described in Section 4. "Platform Policies" means TripSzn's published operational policies (including ranking and badge criteria, content standards, and promotion rules), as updated from time to time with notice.
2. Partner Obligations
- Listing Accuracy. You will maintain accurate, current, and complete Listing information including room descriptions, photographs, pricing, availability, check-in/check-out times, amenities, and cancellation policies. Misleading listings constitute a material breach.
- Booking Fulfilment. You will honour all confirmed Direct Bookings. Failure to accommodate a confirmed Traveller ("walk") may result in immediate suspension. You shall indemnify TripSzn for any reasonable costs incurred to rehouse the affected Traveller in comparable or better nearby accommodation.
- Rate and Availability Integrity. Rates and availability on the Platform must reflect actual available inventory. You must not block inventory on TripSzn to redirect bookings to other channels.
- Cancellation and Refund Compliance. You will honour the cancellation and refund terms published on your Listing. TripSzn will process refunds to Travellers in accordance with those published terms.
- Regulatory Compliance. You will comply with all applicable laws, including the Tourism Industry Act 1992, fire safety regulations, and any state tourism or hospitality regulations applicable to your property.
- Health and Safety. You will maintain the property in a safe, clean, and habitable condition consistent with the standard communicated in the Listing.
3. TripSzn Obligations
- TripSzn will provide and maintain Platform infrastructure to facilitate Direct Bookings.
- TripSzn will process payments from Travellers and disburse booking proceeds to the Partner per the applicable payout schedule.
- TripSzn will provide access to a Partner dashboard to manage Listings, availability, pricing, reservations, and promotions.
4. Commission-Free Launch Period and Fees
TripSzn charges no per-booking commission during the Launch Period. Unless a different period is stated in your Partner dashboard, the Launch Period runs for twelve (12) months beginning on the date of your first confirmed booking through the Platform, so a quiet start never uses up your commission-free time. After the Launch Period, TripSzn may introduce a per-booking commission not exceeding 8% of the booking value on public-rate bookings, by giving at least 30 days' written notice. If you do not wish to continue under the new commission, you may terminate this Agreement without penalty at any time before it takes effect, and it will not apply to bookings confirmed before its effective date. Booking proceeds are disbursed net of payment-processing fees charged by the payment provider. Traveller-side membership fees do not affect Partner payouts.
5. Member Rates (Closed User Group)
You may choose to offer a Member Rate at a discount you set against your public Platform rate. Member Rates are shown only to signed-in Members and are not publicly displayed; they constitute closed-user-group pricing that is not generally available to the public. Public pages may indicate that a member saving exists (for example, "Members save 10%") without displaying the Member Rate itself. No commission is charged on Member Rate bookings, during or after the Launch Period.
6. Pricing Freedom, No Exclusivity, and Placement Benefits
You retain full freedom to set your prices on the Platform and on any other channel, and you may list your property on any other platform: this Agreement imposes no exclusivity and no rate-parity obligation. TripSzn may award placement benefits (such as search ranking, badges, or featured positions) based on objective criteria published in the Platform Policies, which may include how your Platform rate compares with the rates on your own direct channels. These criteria confer benefits only; not qualifying for a benefit is not a breach of this Agreement.
7. Payments, Agency, and Holdback
TripSzn collects payments from Travellers as commercial agent of the Partner; a Traveller's payment to TripSzn discharges the Traveller's payment obligation to you for that booking. TripSzn will disburse booking proceeds per the payout schedule shown in your Partner dashboard. TripSzn may withhold or set off from payouts amounts reasonably required to cover refunds, chargebacks, or payment disputes attributable to your bookings, and will release any withheld balance promptly once the underlying matter is resolved.
8. Guest Relations
You will not solicit a Traveller to cancel a confirmed TripSzn booking in order to rebook the same stay directly. Beyond that, your guest relationships are your own: nothing in this Agreement restricts Travellers from booking future stays with you directly, or restricts you from marketing to guests who have stayed with you.
9. Intellectual Property
You grant TripSzn a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute your Listing content (text, photos, logos) on the Platform and in marketing materials for the purpose of promoting your property. You represent that you own or have the right to license all Listing content and that it does not infringe any third-party intellectual property rights.
10. Data Protection
Both parties will comply with the Personal Data Protection Act 2010 (Malaysia) in relation to personal data shared under this Agreement. TripSzn will share Traveller personal data (name, email, contact number) with the Partner solely for booking fulfilment purposes. The Partner must not use Traveller data for any other purpose without the Traveller's prior consent and must implement reasonable measures to protect such data.
11. Suspension and Termination
TripSzn may suspend or terminate a Listing immediately upon: (a) material breach of this Agreement; (b) substantiated guest complaints indicating systematic misrepresentation or unsafe conditions; (c) failure to honour three or more confirmed bookings within any 12-month period; or (d) regulatory non-compliance. Either party may terminate this Agreement with 30 days' written notice, without penalty. Pending confirmed bookings must be honoured notwithstanding termination.
12. Limitation of Liability
TripSzn's total liability under this Agreement shall not exceed the total booking proceeds disbursed to the Partner in the three months preceding the claim, or RM10,000 if no proceeds have yet been disbursed. TripSzn shall not be liable for indirect, consequential, or loss-of-profit damages arising from Platform downtime, booking disputes, or payment processing delays.
13. Confidentiality
Both parties agree to keep confidential any proprietary or commercially sensitive information disclosed by the other party and not to disclose such information to third parties without prior written consent.
14. Amendments
TripSzn may amend this Agreement or the Platform Policies by providing 30 days' written notice to the Partner's registered email address. Continued use of the Platform after the notice period constitutes acceptance of the amended terms.
15. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Malaysia. Disputes shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, the parties will attempt mediation before submitting the dispute to the courts of Malaysia, which shall have exclusive jurisdiction.
16. Entire Agreement
This Agreement, together with the commercial settings you configure in your Partner dashboard (including your Member Rate and payout details) and the Platform Policies, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior representations, negotiations, or understandings.
